Definitions

  • "Seroja", "we", "us", "our" — Seroja, a business consulting practice based in Melaka, Malaysia.
  • "Service" — the business consulting engagements offered by Seroja, including the First Fold Review, Unfolding Growth Planning, and Advanced Layered Advisory.
  • "User", "you", "your" — any individual or entity accessing our website or engaging our services.
  • "Agreement" — these Terms and Conditions, together with any engagement-specific scope document or written agreement.
  • "Content" — all written outputs, summaries, plans, and documents produced as part of a Seroja engagement.
  • "Website" — the website accessible at serojaf.live.

Acceptance of Terms

By using our website or engaging Seroja for any service, you agree to be bound by these Terms and Conditions. If you do not agree, please do not use the website or proceed with any engagement.

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement under Malaysian law to engage our services.

If you are entering into this Agreement on behalf of a company or other legal entity, you represent that you have the authority to do so.

Service Description

Seroja provides structured business consulting services to small and advanced businesses in Malaysia. Our three core engagement types — First Fold Review, Unfolding Growth Planning, and Advanced Layered Advisory — are described on our website and in the scope document provided prior to any engagement commencing.

Services are available to businesses based in Malaysia and to Malaysian businesses seeking advice remotely. Each engagement is conducted in English.

User Responsibilities

When using our website or engaging our services, you agree to:

  • Provide accurate and complete information when submitting enquiries or during consulting sessions
  • Not use the website for any unlawful purpose or in any way that could damage, disable, or impair it
  • Not attempt to gain unauthorised access to any part of the website or its systems
  • Not reproduce, distribute, or commercially exploit any content from our website without written permission
  • Cooperate reasonably with Seroja's consulting process, including providing relevant business information in a timely manner

Intellectual Property

All content on the Seroja website — including text, design elements, and structure — is the intellectual property of Seroja and is protected under applicable Malaysian intellectual property laws.

Written outputs produced as part of a consulting engagement (overviews, plans, priorities sheets, documentation packs) are delivered for your business use. You may share these internally and use them as a planning reference. You may not resell, republish, or represent these documents as your own work without Seroja's written consent.

Any business information you share with Seroja during an engagement remains your intellectual property. We do not claim any rights over it.

Payment Terms

Fees for each engagement are as follows, in Malaysian Ringgit (RM):

  • First Fold Review: RM 600
  • Unfolding Growth Planning: RM 1,060
  • Advanced Layered Advisory: RM 1,400

Payment terms are agreed in writing prior to the commencement of each engagement. Payment is typically due in full before the first session, unless otherwise specified in the engagement scope document.

Refund Policy: If Seroja is unable to deliver a session due to circumstances on our side, the session will be rescheduled or the relevant portion of the fee refunded. If a client withdraws from an engagement after the first session has been conducted, the fee for that session is non-refundable.

Accepted payment methods will be confirmed at the time of engagement. Fees do not include applicable taxes, which will be added as required by Malaysian law.

Service Delivery Terms

Seroja will deliver each engagement in accordance with the scope document provided at the start. Sessions will be conducted in person (Melaka office) or remotely, as agreed. Written outputs will be delivered within the timeframes set out in the scope document.

If you require a change to the agreed scope, this must be discussed with your assigned consultant and agreed in writing before the change takes effect. Additional scope may incur additional fees, which will be disclosed before proceeding.

Seroja commits to maintaining confidentiality of all business information shared during engagements. This obligation survives the end of the engagement.

Disclaimers

The consulting services provided by Seroja are advisory in nature. We offer structured analysis, observations, and recommendations based on the information provided to us. We do not make decisions on your behalf.

Seroja does not represent or warrant that following our recommendations will produce any specific financial or business outcome. Business results depend on many factors beyond our advisory role, including market conditions, execution quality, and other variables outside our knowledge or control.

Our services are not a substitute for legal, financial, tax, or regulatory advice. Where specialist professional advice is required, we will say so and recommend you seek it from a qualified practitioner.

Limitation of Liability

To the fullest extent permitted by Malaysian law, Seroja's total liability for any claim arising from our services shall not exceed the total fees paid for the specific engagement to which the claim relates.

We shall not be liable for indirect, consequential, incidental, or special losses, including loss of profit, loss of opportunity, or loss of business, whether or not we were advised of the possibility of such losses. This limitation does not apply to losses arising from fraud or wilful misconduct.

Indemnification

You agree to indemnify and hold harmless Seroja and its team members from any claims, losses, damages, or costs (including reasonable legal fees) arising from your breach of these Terms, your misuse of the website, or any false or misleading information you provide during an engagement.

Termination

Either party may terminate an engagement by providing written notice. Where sessions have already been conducted, the fee for those sessions is non-refundable. Seroja will deliver any written outputs that were in progress at the time of termination, where reasonable to do so.

Seroja reserves the right to decline or discontinue services if we believe the client has acted in bad faith, provided materially false information, or if continuing the engagement would be contrary to our professional obligations.

Dispute Resolution

In the event of any dispute arising from these Terms or from a consulting engagement, we encourage both parties to first seek resolution through direct, good-faith discussion. We prefer to resolve issues informally and promptly.

If informal resolution is not possible within 30 days, either party may refer the dispute to mediation under the Rules of the Malaysian Mediation Centre before commencing any legal proceedings.

These Terms are governed by the laws of Malaysia. Any legal proceedings shall be subject to the exclusive jurisdiction of the courts of Malaysia.

General Provisions

  • Entire Agreement: These Terms, together with any engagement scope document, constitute the entire agreement between you and Seroja for the services described.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force.
  • Waiver: Failure by either party to enforce any provision does not constitute a waiver of the right to enforce it in future.
  • Assignment: You may not assign your rights under these Terms without our written consent. We may assign our obligations to a successor entity with notice to you.
  • Notices: Formal notices should be sent in writing to the contact details below or to the email address used during your engagement.

Changes to These Terms

We may update these Terms from time to time. Changes will be indicated by a revised "Last Updated" date. If you have an active engagement at the time of a material change, we will inform you directly. Continued use of our website following any update constitutes acceptance of the revised Terms.
